## Executive Summary

- **Citywide Scale ($49.65M/yr in 2027):** Across 12 Business Improvement Districts ($29.64M-$29.70M), 6 General Improvement Districts ($8.15M), and 1 Tourism Improvement District ($11.80M), Denver special districts spend **$49,590,361 to $49,653,361/yr** in 2027 (*2027 Plan & Budget Approvals - GIDs, BIDs & TID*, Denver Dept. of Finance, Oct 27, 2026, Slides 13, 17-18, 23).
- **Promised "~10% Admin" vs. 21%-78% Actual Overhead:** Proponents pitch City Council "~10% Administration," then spend **25.0%** in Year 1 at **Broadway GID** (+124% Admin jump while promised Safety was cut -36.8%), **21.0%-23.6%** at **Ballpark GID** (plus $85,000 in Year 1 taxes reimbursing proponents' own formation costs), **30.4%-33.7%** on Admin + "Other" at **Downtown Denver BID** ($3.68M-$3.91M/yr, nearly 3x its Safety budget), and **78.2%-82.6%** on Admin at **RiNo BID** ($1.93M of $2.47M in 2027, with $0 on Safety).
- **Why Consultants Are Pivoting to Taxing Apartments & Condos (IRS Form 990s):** Commercial office value drops cut Downtown BID tax revenue **-18.8%** ($13.89M in 2025 Amended to $11.28M in 2026 Amended), while manager **Downtown Denver Partnership Inc** (EIN 84-1222797, FY2024 Form 990) carried **$4,136,835 in salaries** (91.8% of $4.51M expenses, including **$2,264,866** in officer/executive compensation) and ran a **-$1,179,070 deficit** inside DDP's $7.95M-$9.52M/yr three-nonprofit structure (84-1222797, 84-0449936, 20-1168758). Simultaneously in Golden Triangle, developer Urban Villages' 1150 Bannock LLC seeded $200,000 into a private foundation (EIN 87-3195005; $0 community grants over 4 years) and used the remaining $68,441 to hire **P.U.M.A.**, the exact same consultant pitching the 120-block Downtown GID.
- **The 1949 Loophole (C.R.S. § 31-25-604(1)):** In a 1988 Commercial BID (C.R.S. § 31-25-1203(2) & (10)), residential condos and apartments pay **$0**, petitions require **>50% of assessed value AND >50% of acreage** (§ 31-25-1205(2)), ordinances sunset every **10 years**, and taxpayers can petition to dissolve (§ 31-25-1225). By switching to a **1949 suburban paving statute** (C.R.S. § 31-25-601 et seq.), proponents cap petitions at **"30% or 200 of the electors, whichever is less"** (<1%-3% of dense neighborhoods, zero signature withdrawal), skip Phase 1 cost postcards, lock taxes in **forever** (0 of 6 Denver GIDs sunset, § 31-25-611(1)(a)), and strip taxpayers of any dissolution petition right (§ 31-25-625).

| **Downtown Denver BID** (File 26-1593, Slide 38) | N/A | **33.7%** Admin + Other in 2026 ($3.91M of $11.62M); **30.4%** in 2027 ($3.68M of $12.08M) | 2027 Admin ($2.00M) + Other ($1.67M) is **nearly 3x larger** than its $1.40M Safety budget ($1.28M in 2026). |

## 2. The 1949 Statutory Loophole vs. 1988 Commercial BID Protections

| Taxpayer Safeguard | 1988 Commercial BID Act (C.R.S. § 31-25-1201) | 1949 Municipal GID Act (C.R.S. § 31-25-601) |
| :--- | :--- | :--- |
| **Apartments & Condos** | **100% Exempt ($0)** (§ 31-25-1203(2) & (10)) | **Taxed in full** (condos on tax bills; apartments via HB25-1090 Base Rent renewals) |
| **Petition Threshold** | **>50% assessed value AND >50% acreage** (§ 31-25-1205(2)) | **"30% or 200 of the electors, whichever is less"** (§ 31-25-604(1)) - <1%-3% of dense neighborhoods; zero signature withdrawal once filed |
| **Sunset / Reaffirmation** | **Mandatory 10-year sunset** (Denver BID Ord. § 16) | **Perpetual existence** (0 of 6 Denver GIDs ever sunset) (§ 31-25-611(1)(a)) |
| **Right to Dissolve** | **Taxpayers can petition to dissolve** (§ 31-25-1225) | **Zero taxpayer petition right** - only City Council can initiate (§ 31-25-625) |
| **Board of Directors** | Commercial property/business board | **Denver City Council sits ex officio as sole Board** (§ 31-25-609) despite "resident-led" marketing; 1-2 token resident seats on 9-to-11-seat Mayor-appointed advisory boards |

- **Minority Petition Math:** Broadway GID (Creation Deck Slides 15-16) reached the ballot on **206 signatures**: just **13% of renters** (110 of 842) and **14% of residential owners** (31 of 222), vs. 40.4% of business personal property owners. Ballpark advanced with 221 petitions.
- **Dropping Mailers After Cherry Creek Pushback:** In May 2025, District 5 mailed Phase 1 postcards disclosing estimated $230-$990/yr Cherry Creek GID costs; **65.25%** of 354 respondents marked "Not Interested," and when backers called that "not a clear no" and tried to proceed anyway, **1,780+ opposition signatures** led by Cherry Creek North residents killed it in Sept 2025. In 2026, Golden Triangle and Downtown proponents mailed **0 Phase 1 postcards**.

## 3. The 5-Point Denver & Colorado GID Reform Platform

1. **End the 1949 200-Signature Cap (C.R.S. § 31-25-604(1)):** Require 30%+ of eligible electors (plus separate residential and commercial majorities whenever residential property carries >25% of the tax base) and allow signature withdrawal prior to the Council hearing.
2. **Codify the "Cherry Creek Mailed Cost-Notice Rule" in Denver D.R.M.C.:** Prohibit City Council from introducing a GID petition or ballot ordinance unless every affected residential unit and parcel owner was mailed a plain-English annual dollar tax and lease pass-through estimate during Phase 1.
3. **Mandatory 10-Year Sunset & Taxpayer Dissolution Petition:** Require every Denver GID ordinance to include the same 10-year renewal clause required of commercial BIDs, and amend C.R.S. § 31-25-625 so electors can petition for dissolution.
4. **Hard 12% Cap on Admin/Management Overhead & Ban Lobbying Reimbursements:** Cap combined Admin + Management + uncategorized "Other" spending at 12% of annual GID expenditures, and ban taxing residents to reimburse proponents' formation or consultant costs ($85,000 in Ballpark).
5. **Proportional Resident & Renter Governance + Truth in Marketing:** Require residential advisory seats (including apartment renters) to match or exceed homes' share of the GID tax base, and prohibit City-contracted managers or consultants from advertising Council-governed GIDs as "resident-led."
